So far as exhaust under water is doesn't matter as long as your intake isn't, and the diesel part this:

I saw a xj with a stack on here when I first joined. It was chopped and came up from the "bed"

Hag I was having a discussion with my friend who's a Toyota tech about that today. Use a laser temp gun. If the temp just before the cat is significantly higher then the temp after the cat its getting clogged. I don't have a reference temp though. A vacuum gauge will also tell you... Google how to interpret it.

Speaking of adding a header....does one help any on our 4.0's? Or not really. I'm have been thinking of buying one. But not sure if it will be worth it. Anyone have experience? Yes? No? Maybe so?

Yes, it is worth it just for the sound but also helps the 4.0 exhale. Also gets rid of the annoying leaky factory manifold tick.

2.25" in and out. Standard on stock XJs.

Ok. So I have the flowmaster 44 now and I love it. But my mom hates it and says it's too embarrassing so she won't drive it anymore. Is there anything I can do to quiet it?

Other than go to a 50 series, or an inline baffle/resonator which there really is no room for, I would say nothing you can do. If you just put it on and its new, it will probably get a little deeper too as you break it in.
