So, you bought a larger aftermarket cat, which inherently will get hotter due to more surface area, and it sits closer to the transmission because of the larger size. Your transmission got screwed up because of the heat from the larger, hotter cat and lack of heat shielding, but the problem was tried to be put on the manufacturer of the cat?
The cat you used is, I'm sure, universal. Meaning it WOULD fit your vehicle, but that doesn't mean its THE perfect cat for your vehicle. Sure, it fits the exhaust pipe diameter, passes emissions, and got you down the road, but the manufacturer has no control over how their parts are used, therefor they denied the claim because of the environment in which the cat was used. They leave it up to the consumer to make educated decisions on how to use their product, and leave it up to the consumer to ensure there won't be any adverse effects to the surrounding areas from the extra heat in this case. They basically said " Our cat worked as advertised and it's not our fault it was installed too close to the transmission."
I have magnaflow universal cats in my Camaro SS that have caused zero issues. This is because I made sure there would be no issues in clearance, and made sure to put all the heat shields back in after I put my headers and all of the exhaust system in. I went from factory 2.5" pipe to 3" pipe all the way back, and the cats are actually a hair smaller than the factory cat. This I made sure of since I was going larger pipe.
Just trying to shed some light on why magnaflow denied any warranty or damage claims after using their part.

wasn't specifically to you, more in general. When yours cracked would you have been able to weld em back? Having the motor and tranny mounts done, I think, would have resolved your issue. That is truly weird.

Just looking for a good option for an exhaust for a straight 6 4L exhaust and muffler. One that will not make it sound like a race car, but one that will give it a deep throaty sound and mean. I’ve heard the magnaflow ones are good but are there any better options ? Looking for 2 inch diameter. Let me know!

Best I've sound I've heard is on my son's 4.0 TJ. It's a Borla of some type. Folks who heard it at Jeep Beach last year were asking if he had done a small block V8 conversion to it. Possibly this one:

3" dia Stock front cat on a '99 XJ
Larger MagnaFlow California certified replacement Cat installed due to poor numbers on the last smog test; confirmation by infrared thermometer readings of the inlet and exit temps on the old Cats
After the new cats were installed we went on a trip. Unfortunately, about 30miles up the highway from home, I noticed smoke rising from below the jeep. I pulled over and observed a fire from ATF fluid spilling on the exhaust pipe. Fortunately, we were carrying a fire extinguisher. Once the flames were extinguished, we called a towing company and had them tow the Jeep to a local automotive shop. The mechanics observations:
“REMOVED THE TRANSMISSION AND FOUND RANGE SENSOR AND FRONT SPEED SENSOR MELTED. TRANSMISSION COOLER LINES DAMAGED AND THE FLUID BAKED. NOTED THE NEW CATALYTIC CONVERTERS AND INSPECTED. AFTER MARKET CATALYTIC CONVERTERS ARE CALIFORNIA LEGAL BUT NOT THE SAME OEM STYLE. THERE IS NOT MUCH ROOM IN BETWEEN THE CATALYTIC CONVERTER AND THE TRANSMISSION, SUSPECT HEAT FROM EXHAUST DAMAGED THE TRANSMISSION AND SENSORS. (CUSTOMER STATES THAT THE FLOOR BOARD GETS SO HOT THAT IT BURNT HIS DOGS FEET). REPLACED THE TRANSMISSION AND SENSORS. FLUSHED THE TRANSMISSION COOLER TWICE. TEST DROVE BREIFLY. VEHICLE RUNNING NORMAL AND SHIFTING PROPERLY. CHECKED FUEL TRIM TO SEE IF CONDITION MAY BE EFFECTING THE TEMPERATURE OF THE EXHAUST. FUEL TRIM IS NORMAL.”

Prior to driving the Jeep home, I installed a Heatshield Products insulating mat over the top of the front cat. With additional shielding, the catalytic converter functioned well. After slow stop and go city driving, I observed a 360 degree reading from an infrared thermometer pointed at the top of the outlet side of the front cat below the shield and added insulating mat. The surface of the insulating mat and MagnaFlow’s shield read 180 degrees. The automatic transmission’s pan read 195, standard operating temp. This leads to the conclusion that MagnaFlow’s provided shielding is inadequate.Unfortunately, as stated above, MagnaFlow’s larger cat places heat very close to the transmission.
Heat Shield installed
In an effort to bring this to MagnaFlow's attention, I contacted Customer Service at MagnaFlow and discovered they do not return calls. In turn, I filed a formal complaint with the state Board of Automotive repair (BAR). Though they do not have authority over Manufactures, they did get a response from MagnaFlow's engineering department who reviewed the information. This was their response:
“… We have reviewed your liability claim and are denying the same. While our universal replacement part may be dissimilar to the OE part, there is nothing about the part and its proper operation that could have resulted in damage to your transmission. We note that the part itself was not damaged and is still in use. Our warranty is limited to replacement of the Magnaflow part, if determined to be defective.

It depends on what year your XJ was manufactured. All 1999 XJ's came from the factory with two cats - a small one in front like the image I posted and another one under the passenger seat. To get smog certification in CA both cats are required. Earlier XJ's place one cat further back below the heat shield Chrysler never bothered to re-locate.

Can someone give me the dimensions of the diameter of my stock California exhaust where the question marks are- Cat inlet/outlet diameter sizes and the diameter of the pipe that connects to the cat inlet which routes up toward the Pre-Cats?
